Terms of Service

1. Acceptance of Terms
By downloading, installing, accessing, or using the Pinny mobile application (the "App") and related services (collectively, the "Service"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Pinny ("we," "us," or "our").
2. Definitions
- "Service" means all features and functionality provided through the App, including but not limited to trip itinerary management, map-based travel recording, checklists, budget management, AI-powered itinerary recommendations, and collaborative trip planning.
- "User" means any individual who accepts these Terms and uses the Service.
- "Content" means any information created, uploaded, or shared by Users within the Service, including trip itineraries, photographs, journal entries, budget records, and other travel-related data.
- "Account" means the registered user profile created through social login authentication to access the Service.
3. Eligibility
- You must be at least 13 years of age to use the Service, in compliance with the Children's Online Privacy Protection Act (COPPA). If you are between the ages of 13 and 18, you may use the Service only with the consent of a parent or legal guardian.
- By using the Service, you represent and warrant that you meet the eligibility requirements set forth herein and have the legal capacity to enter into these Terms.
- If we learn that we have collected personal information from a child under the age of 13, we will promptly delete such information and terminate the associated Account.
4. Account Registration
- You may register for an Account using third-party social login providers (Apple, Google, or Kakao). By registering, you authorize us to access and use certain information from these providers as described in our Privacy Policy.
- You agree to provide accurate and complete information during the registration process and to keep your Account information current.
- You are solely responsible for maintaining the confidentiality and security of your Account credentials. You agree to notify us immediately of any unauthorized access to or use of your Account.
- You may not use another person's Account or registration information without permission, nor may you create an Account using false or misleading information.
5. Services Provided
- The App provides the following services:
- Trip itinerary creation and management
- Map-based travel recording and route visualization
- Checklist and packing list management
- Travel budget tracking and expense management
- AI-powered itinerary recommendations
- Collaborative trip planning and sharing
- Travel journal and photo documentation
- Such additional features as we may develop from time to time
- We strive to provide the Service on a continuous, 24/7 basis. However, we reserve the right to suspend or discontinue the Service, in whole or in part, at any time for maintenance, upgrades, security concerns, or any other reason, with or without notice.
- Certain features of the Service may require an active internet connection, location services, or other device capabilities to function properly.
6. Advertising
- The Service may display advertisements provided by third-party advertising networks, including Google AdMob. You acknowledge and agree that we may place advertising within the App.
- Any transactions or interactions between you and third-party advertisers are solely between you and such third parties. We are not responsible for any loss or damage arising from such dealings.
7. User Conduct
You agree not to engage in any of the following prohibited activities:
- Using the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
- Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
- Interfering with, disrupting, or placing an undue burden on the Service or the networks or servers connected to the Service.
- Uploading, posting, or transmitting any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Attempting to gain unauthorized access to the Service, other Accounts, or any computer systems or networks connected to the Service.
- Using the Service for any unauthorized commercial purpose, including selling, reselling, or exploiting the Service or its Content.
- Introducing any viruses, malware, or other harmful code into the Service.
- Collecting or harvesting personal information of other Users without their express consent.
- Circumventing or attempting to circumvent any security features of the Service.
8. Intellectual Property and Content Rights
- You retain all ownership rights in the Content you create and upload through the Service. We do not claim ownership of your Content.
- By using the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to store, display, reproduce, and transmit your Content solely for the purpose of providing and improving the Service.
- We will not use your Content for purposes unrelated to the provision of the Service without your prior consent.
- If you choose to make your Content publicly available or share it with other Users through the Service's sharing features, such Users may view, access, and interact with your shared Content.
- The App, including its design, logos, trademarks, code, and other proprietary elements, is the exclusive property of Pinny and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the App without our express written permission.
9. Suspension and Termination
- We reserve the right to suspend or terminate your Account and access to the Service, without prior notice, if we determine that you have violated these Terms or engaged in conduct that is harmful to other Users, us, or third parties.
- We will make reasonable efforts to notify you of the basis for any suspension or termination.
- You may contest any suspension or termination by contacting us at the email address provided below.
- Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, retain your Content for a reasonable period following termination.
10. Account Deletion
- You may delete your Account at any time through the App's settings. In compliance with the California Consumer Privacy Act (CCPA), you have the right to request deletion of your personal information.
- Upon Account deletion, all of your data, including trip itineraries, photographs, journal entries, and other Content, will be permanently deleted within 30 days.
- Deleted data cannot be recovered. You are responsible for exporting or saving any data you wish to retain before deleting your Account.
11. Disclaimer of Warranties
- THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
- WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SERVICE, INCLUDING AI-GENERATED RECOMMENDATIONS. AI recommendations are provided for informational purposes only and should not be relied upon as the sole basis for travel decisions.
- ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK.
12. Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PINNY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
- OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR ACCESS TO THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
- THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify, defend, and hold harmless Pinny, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your Content.
14. Arbitration and Dispute Resolution
- Governing Law: These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles.
- Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in the English language and shall take place in San Francisco, California, or at another mutually agreed-upon location.
- Class Action Waiver: YOU AND PINNY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
- Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
- Small Claims Court: Either party may bring an individual action in small claims court for disputes within the jurisdictional limit of such court.
- Opt-Out: You may opt out of this arbitration agreement by sending written notice to the email address below within thirty (30) days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in San Francisco County, California.
15. Changes to These Terms
- We reserve the right to modify these Terms at any time. We will provide notice of material changes at least seven (7) days before the effective date of the revised Terms by posting an in-App notification or by other reasonable means.
- Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of such changes.
- If you do not agree with the revised Terms, you must stop using the Service and delete your Account.
16. General Provisions
- Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.
- Entire Agreement: These Terms, together with our Privacy Policy and Location Information Terms, constitute the entire agreement between you and Pinny regarding the use of the Service and supersede all prior agreements and understandings.
- Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, or sale of all or substantially all of our assets.
- Force Majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet or telecommunications failures.
